AI Financial Corp, a fintech company with ties to the Trump family's World Liberty Financial crypto venture, has completed the sale of its Canadian operations to New York-based Prime Delta. The deal comes just weeks after another fintech firm, Perpetuals.com, walked away from negotiations to purchase the same subsidiary.
According to a filing with the U.S. Securities and Exchange Commission on Friday, AI Financial will receive a $12 million secured promissory note as part of the transaction. The note includes a $1 million payment due next week, with the remaining balance to be paid out over time. AI Financial will receive approximately 11.6 million shares of Prime Delta stock in exchange for ALT5 Sigma Canada.
The sale marks a significant shift for AI Financial, which was previously known as ALT5 Sigma. The company has been restructuring its operations following the earlier failed acquisition attempt by Perpetuals.com. Neither AI Financial nor Prime Delta responded to requests for comment outside regular business hours.
The transaction highlights the ongoing consolidation within the fintech sector, particularly among companies with political connections. World Liberty Financial, the crypto platform backed by the Trump family, has been expanding its footprint in digital assets, and this sale may signal a strategic realignment for AI Financial as it focuses on other growth areas. The deal is expected to close in the coming months, subject to regulatory approvals.
