Germany Is Seeking Peace in UniCredit’s Commerzbank Victory

The German government is finally accepting the inevitable: UniCredit Group SpA has essentially won the battle for Commerzbank AG. The finance ministry, which still holds a stake in Commerzbank, is now seeking a gracious exit after bitterly opposing the Italian takeover. It may be closer to finding a way out, but that will resolve just one of the challenges UniCredit faces in making a success of its victory. So much bad blood has been stirred up on both sides in this drawn-out fight that a happy marriage is far from guaranteed.

For months, Berlin fought the advance of UniCredit's chief executive, Andrea Orcel, who methodically built a large stake in the German lender. The government viewed the move as a threat to its national banking champion and to the stability of its mid-sized corporate lending market. Yet Orcel's persistence, combined with UniCredit's financial firepower, has worn down the resistance. Now, the finance ministry is reportedly exploring options to sell its remaining shares in an orderly fashion, avoiding a messy public clash that could spook markets.

The problem is that the damage has already been done. The public spat has created deep distrust between the management teams, the works councils, and the politicians involved. UniCredit will need to win over skeptical employees and clients who see the takeover as a foreign invasion rather than a strategic merger. Orcel has promised to respect Commerzbank's branch network and its role in supporting German industry, but words alone will not be enough. He will need to demonstrate through actions that the combined group can grow and protect jobs.

A graceful exit by the German state would remove a major political obstacle, but it will not erase the lingering resentment. UniCredit must now focus on integration, transparency, and building relationships at the local level. The victory is clear, but the real work has just begun.
